Id vote for carpet first as the kick panel has to cover the carpet area by the door area, and the sill over the carpet and panel. Its probably best to lay the carpet, then rough install the kick panels, trim the carpet, then permanently install the kick panels. You can do the panels first, but you'll need to wiggle the carpet under the panels, which can be a pain.
